These Terms of Service ("Terms") govern your use of pFrame's AI-powered product photography service. By accessing or using our service, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing or using pFrame ("Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

  • You must be at least 18 years old and able to form a binding contract to use our Service. If you use the Service on behalf of a business, you represent that you are authorized to bind it to these Terms.
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account

2. Service Description

pFrame provides an AI-powered service that transforms product photos into professional, marketing-ready images through advanced machine learning technology.

Our Service Includes:

  • •AI-powered background removal and replacement
  • •Automated generation of lifestyle and studio product photos
  • •Image enhancement and optimization for e-commerce
  • •Batch processing capabilities for multiple products
  • •Cloud storage and management of generated images

Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance and updates may temporarily affect availability.

Third-Party Processing: To generate images, we send your uploaded content and prompts to third-party AI and image-processing providers acting on our behalf. They process your content only to provide the Service to you. We publish the current list of providers in our Privacy Policy.

3. User Accounts

Account Responsibilities

Account Security: You are responsible for safeguarding your password and any activities or actions under your account, whether your password is with our Service or a third-party service.

Accurate Information: You must provide accurate, current, and complete information during registration and keep your account information up-to-date.

Single Account: Each user may maintain only one active account. Creating multiple accounts may result in termination of all associated accounts.

Account Termination

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease, and we may delete your data after 90 days unless legally required to retain it.

4. Intellectual Property Rights

Content Ownership

Your Original Content

You retain all rights to the product photos and content you upload to pFrame. By uploading content, you grant us a limited, non-exclusive license to process, store, and display your content solely for providing our services to you.

AI-Generated Images

We assign to you whatever rights we hold in the AI-generated images created through our Service, subject to the following:

  • • You may use generated images for any legal commercial or personal purpose
  • • You may modify, distribute, and create derivative works
  • • No attribution to pFrame is required (though appreciated)
  • • Purely AI-generated output may not be protectable by copyright in your jurisdiction. We make no warranty that generated images are original, protectable, or free of third-party claims; obtain your own advice before relying on exclusivity.

📸 Promotional Use License

By using our Service, you grant pFrame a non-exclusive, worldwide, royalty-free license to use your AI-generated images for promotional and marketing purposes, subject to the following conditions:

  • •Opt-Out Available: You can opt out of promotional use at any time by emailing privacy@pframe.ai
  • •Anonymization: We will not identify you or your business without explicit consent
  • •Quality Showcase: Images may be used to demonstrate service capabilities and improvements
  • •Attribution Option: You may request attribution when your images are showcased

Note: Opting out only affects future use. Images already in published marketing materials may remain until those materials are updated or retired.

pFrame Platform

The pFrame service, including its design, features, and technology, is proprietary to pFrame and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of our service.

Content Representations

By uploading content to pFrame, you represent and warrant that:

  • You own or have the necessary rights to the content
  • Your content does not infringe on any third-party rights
  • Your content complies with all applicable laws and regulations

5. Acceptable Use Policy

Prohibited Uses

You may not use pFrame to:

  • Generate or distribute illegal, harmful, or offensive content
  • Violate any intellectual property or privacy rights
  • Create misleading or deceptive content
  • Attempt to bypass usage limits or security measures
  • Resell or redistribute the service without authorization
  • Use the service for any illegal or unauthorized purpose

Content Guidelines

All content processed through pFrame must:

  • ✓Be legally owned or licensed by you
  • ✓Comply with all applicable laws and regulations
  • ✓Not contain adult, violent, or hateful content
  • ✓Respect the privacy and rights of others

6. Payment Terms

Subscription Billing

  • • Subscriptions auto-renew unless cancelled
  • • Billing occurs at the start of each period
  • • No refunds for partial periods
  • • Price changes with 30 days notice

Payment Processing

  • • Secure processing via Stripe
  • • We don't store card details
  • • Multiple payment methods accepted
  • • Instant access upon payment

Refund Policy

We offer a 7-day money-back guarantee for first-time subscribers. Refunds may be granted at our discretion for:

  • • Service outages exceeding 24 hours
  • • Billing errors or duplicate charges
  • • Failure to deliver promised features

Refunds are not available for usage-based charges or after the 7-day period.

Credits

Credits are a limited, revocable, prepaid right to access the Service. They are not money or a monetary equivalent, and they do not constitute a deposit, stored value, or a balance held for your benefit. Credits are non-transferable and have no cash value except where the law requires otherwise.

When you generate images we spend your subscription credits first, starting with the ones that expire soonest, and then any purchased credit packs. Subscription credits expire as described on the pricing page; purchased credit packs do not expire.

If we refund a payment, in full or in part, we revoke the unspent credits that payment granted, in proportion to the amount refunded. We never take back credits you have already spent, and we never reduce your balance below zero.

If you dispute a charge with your bank or card issuer (a chargeback), we may suspend your account, revoke all unspent credits, and pause the affected subscription while the dispute is open. A bank inquiry that has not become a chargeback does not affect your account.

If a chargeback is withdrawn or resolved in our favour, we reinstate your account and restore the unspent credits we revoked, with a fresh expiry running from the date of reinstatement.

You agree to stop using, for commercial purposes, any images generated with credits attributable to a payment that was later refunded or reversed.

7. Limitation of Liability

Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Damages

IN NO EVENT SHALL PFRAME, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

AI-Generated Images and Your Review

Generated images are produced by machine learning models and may not accurately depict your physical product, including its size, colour, materials, features, or how it is used. You are responsible for reviewing every generated image before you publish it, and for making sure any listing, advertisement, or other material that uses it is truthful, not misleading, and complies with applicable law and marketplace rules.

Indemnification

You agree to defend, indemnify, and hold harmless NexAI Advisors LLC (operating pFrame) and its officers, employees, and agents from and against any claims, demands, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to: (a) content you upload to the Service; (b) your use of generated images, including any listing, advertisement, or publication that uses them; (c) your breach of these Terms; or (d) your violation of any law or of any third-party right.

Force Majeure

We are not liable for any failure or delay caused by events outside our reasonable control, including outages or changes at third-party AI or hosting providers, network failures, labor disputes, government action, or natural disasters.

Note: Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

8. Termination

Termination by You

You may terminate your account at any time through your account settings. Upon termination:

  • •Your subscription will not renew at the end of the current billing period
  • •You will retain access until the end of your paid period
  • •Your data will be retained for 90 days for potential reactivation

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

  • •Breach of these Terms of Service
  • •Violation of applicable laws or regulations
  • •Fraudulent or illegal activity
  • •Non-payment of fees

9. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina and the United States, without regard to conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

10. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and pFrame regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on our Service at least 30 days before they take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you disagree with the changes, you may terminate your account.
